Terms of Service

These Terms of Service ("Terms") govern your access to and use of Matzop (Matzop), including our websites, dashboards, member portals, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Matzop provides Brazilian Jiu-Jitsu academy management software, including member management, scheduling, waivers, billing tools, public websites, AI-assisted features, and related functionality. Feature availability depends on your subscription plan and trial status.
2. Accounts and gyms
You must provide accurate information when registering. You are responsible for activity under your account and for maintaining the confidentiality of credentials. Gym owners are responsible for staff access they grant and for content published on their public gym site.
3. Free trial and paid plans
New gyms receive a 14-day free trial with full access to the selected plan tier. After the trial ends, continued use of the staff dashboard requires an active paid subscription (Starter, Growth, Pro, or Enterprise).
4. Billing, auto-renewal, and cancellation
Auto-renewal: Paid subscriptions automatically renew at the end of each billing period (monthly or annual) at the then-current rate unless you cancel before the renewal date. You authorize us to charge your payment method on file for each renewal period.
Cancellation: You may cancel your subscription at any time through the billing portal in your dashboard (Settings → Billing → Manage Subscription). Cancellation takes effect at the end of the current paid period — you retain access until then. No partial refunds are issued for unused time within a billing period, except where required by law.
Price changes: We will notify you at least 30 days before any price increase. Continued use after the change constitutes acceptance.
5. Member billing
When you use Matzop to collect membership fees from students, you are the merchant of record for those charges (or your connected Stripe account, as configured). Matzop is not responsible for your pricing, refunds, or tax obligations to members.
6. Intellectual property
Matzop owns all rights in the Service, including software, design, trademarks, and documentation. You retain ownership of content you upload (gym data, member records, photos, media). By uploading content, you grant us a limited, worldwide license to host, display, and process that content solely to provide the Service. This license terminates when you delete the content or close your account.
7. Acceptable use
You may not misuse the Service, attempt unauthorized access, interfere with other customers, or use the Service for unlawful activity. We may suspend or terminate accounts that violate these Terms.
8. Data and privacy
Our collection and use of personal information is described in our Privacy Policy. You are responsible for providing required notices to your members and leads, and for obtaining any consents required by applicable law before entering personal data (including data of minors) into the platform.
9. Indemnification
You agree to indemnify, defend, and hold harmless Matzop, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) content you upload or make available through the Service.
10. Disclaimers and limitation of liability
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent permitted by law. Matzop does not warrant that the Service will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, Matzop's total aggregate liability arising from these Terms or the Service is limited to the fees you paid to Matzop in the twelve (12) months before the claim. In no event shall Matzop be liable for indirect, incidental, special, consequential, or punitive damages.
11. Dispute resolution and arbitration
Informal resolution: Before filing a formal dispute, you agree to contact us at hello@matzop.com and attempt to resolve the dispute informally for at least 30 days.
Binding arbitration: If we cannot resolve the dispute informally, you andMatzopagree to resolve any dispute through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will take place in Wilmington, Delaware or remotely, as mutually agreed. Each party bears its own costs; the arbitrator may award attorneys' fees to the prevailing party.
Class action waiver: You agree that disputes will be resolved on an individual basis and not as part of any class, consolidated, or representative action.
Exceptions: Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service. Small claims court actions are also permitted.
12. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. To the extent court proceedings are permitted under Section 11, you consent to the exclusive jurisdiction of the federal and state courts in New Castle County, Delaware.
13. Modifications
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
